Who declares to have found out about the general conditions hereby annexed, duly signed and initialed, as well as about the whole information viewed on the "RONDS DE SORCIERE" website, commits oneself to buy:

GENERAL CONDITIONS 

Preamble

The RONDS DE SORCIERE Ltd (« the farmer ») enjoys the exploitation right of a plot which belongs to the GFA "LES ENFANTS DE LA SORCIERE" whose location is defined in the special conditions, and aimed at the planting of oak trees for truffles production.

It has been ruled and defined what follows:

1.     Object

The Patron decides to purchase shares of the truffles production coming from truffle oak trees, farmed on the plot, (here below the " patronage" according to the terms and conditions of the present contract.)

2. Conditions

When he signs the present contract, the Patron pays to the farmer an amount corresponding to the purchasing price of the truffles production of one or several truffle oak trees on the plot ("the subscription"). The particular conditions determine the number of oak trees whose half of the production will go to the Patron according to the terms applied here after, as well as the unit price of subscription.

The financial subscription is final and irrevocable and will not be able to be paid back by the farmer to the Patron. It is aimed at allowing the maintenance and the exploitation of the oak trees by the farmer for the production of truffles.

3. Rights of the Patron on the yearly production of truffles on the plot

In return for his subscription, and for the whole period of the contract, the Patron will receive half of the yearly truffles production coming from the exploitation of the plot in proportion to the number of oak trees financed by him and in relation to the number of oak trees planted on the plot. Example: Number of oak trees promoted: 2. Number of oak trees on the plot: 220. Weight of truffles coming to the Patron (WP): WP=2/220 x 50% x TW (TW corresponds to the total weight of the yearly production of truffles of the plot). The farmer will keep the other half of the yearly production of truffles (to finance the maintenance of truffle fields ).

4. Durée du parrainage

En vertu du présent contrat le Parrain bénéficiera de la production de truffes à compter de la cinquième année suivant la plantation des chênes truffiers sur la parcelle et pendant les 25 années qui suivent, sauf cas de force majeure.

5. Length of the patronage

In accordance with the present contract, the Patron will receive the production of truffles from the fifth year following the planting of oak trees on the plot and for the following 25 years except in case of absolute necessity.

6. Production estimation

The calculation of the truffles production on the plot (TP) will be done, at the latest, the 31st of March of each year at the end of each harvest taking place the former December.

7. Information to the Patron and delivery

a) The yearly production of truffles coming to the Patron must be normally recovered by himself on the place where the plot is, within 15 days after receiving the information letter.

b) If the Patron prefers to receive his part of the production, he will have to inform the farmer as soon as he receives the information letter and he will let him know the place where he wants it to be sent.

c) The farmer will inform every year the Patron, on April, after the production, of the weight of truffles coming to him by letter or fax or email. The information letter will specify the date of plantation of the oak trees on the plot, the total number of truffle oak trees planted on the plot, the weight of the yearly production of the plot and the way of calculating the weight of truffles coming to the Patron.

d) The information letter will also specify that if the Patron does not ask for his part within 30 days after receiving the letter , the yearly production coming to the patron will be considered as given up for good by the latter. The farmer will be able to have it at his disposal without any possible claims from the Patron.

e) The information letter will be sent to the Patron at the address mentioned in the special conditions. The Patron will inform the farmer if the address has changed to avoid any problems of sending.

8. Commitments of the farmer

The farmer will provide the maintenance and exploitation of the plot, professionally carried out throughout the lifetime of the truffle oak trees (around 30 years from planting). The farmer does not guarantee in no way the production of a minimum quantity of truffles coming from the exploitation of the plot.

9. Case of force majeure

The farmer will not be responsible in any way for any partial or total reduction of the production of truffles in case of force majeure.
